1. Definitions

• "Company" / "We" / "Us" — FormationsHQ Limited, registered in England and Wales, Unit 7 Initial Business Centre, Wilson Business Park, Manchester, M40 8WN.
• "Service" — All products, services, and features available through formationshq.com, including company formation, registered address, marketplace add-ons, and the business dashboard.
• "Customer" / "You" — Any individual or entity that accesses or uses our Service.
• "Formation" — The process of incorporating or registering a company with the relevant authority (Companies House UK, state authorities in the US, or Corporations Canada).
• "Platform" — The FormationsHQ web application and customer dashboard.
• "Government Fees" — Fees charged by Companies House, state filing offices, IRS, or Canadian authorities which are separate from our service fees.

2. Our Services

FormationsHQ provides the following services:

• UK Limited Company registration via Companies House
• US LLC formation in Delaware and other states
• Canadian provincial and federal company incorporation
• Registered office and business address services
• Mail handling and forwarding
• EIN and ITIN application assistance
• Business website design and branded email setup
• Domain name registration and transfer
• Invoicing, payment processing, and business management dashboard
• Marketplace services (logo design, accounting, virtual address, compliance, and more)

We act as an agent or intermediary to facilitate your company formation. The legal entity created belongs to you; FormationsHQ is not a legal partner, director, or shareholder of your company unless explicitly agreed.

3. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Provide accurate, truthful, and complete information during registration and formation
• Not be subject to any legal prohibition from forming or directing a company
• Comply with all applicable laws in your jurisdiction
• Not use our services for fraudulent, illegal, or money-laundering purposes

We reserve the right to refuse service to any person or entity at our sole discretion, particularly where we suspect fraudulent activity or AML violations.

4. Orders & Payment

Placing an order

By submitting an order, you are making an offer to purchase our services. A contract is formed when we confirm your order by email and/or begin processing your formation.

Pricing

All prices are displayed in GBP (£) and are inclusive of VAT where applicable. Government filing fees may be added at checkout and are charged at cost. We reserve the right to change our prices at any time, but the price at the time of your order will apply.

Payment

• Payments are processed securely by Stripe. We do not store your card details.
• Full payment is required before we begin processing your formation.
• Accepted methods: Visa, Mastercard, American Express, and bank transfer.
• Annual renewal fees (£99/yr) are billed automatically unless you cancel before the renewal date.

Failed payments

If a payment fails, your service may be suspended until payment is received. We will notify you by email before suspending any service.

5. Company Formation

• We will submit your company formation documents to the relevant authority on your behalf using the information you provide.
• You are solely responsible for the accuracy of all information submitted. We are not liable for rejections, delays, or issues arising from incorrect information.
• Formation timelines are estimates only. We do not guarantee specific completion times as these are subject to government processing.
• Once submitted, we cannot withdraw a formation application. Government fees are non-refundable.
• Company names are subject to approval by the relevant authority. We will notify you if your chosen name is rejected and work with you to find an alternative.
• You are responsible for ongoing compliance, annual filings, and statutory obligations after formation. We offer compliance services separately.

6. Registered Address Service

• Our registered address service provides you with a physical address for official correspondence and company registration purposes.
• This address may not be used as a trading address, retail premises, or for activities that could create a legal liability at the address.
• Mail handling is included up to 10 items per month on Premium plans. Additional items may incur extra charges.
• We will scan and forward official government correspondence to your email address. Physical forwarding is available at additional cost.
• The address service is subject to annual renewal at £99/yr. Failure to renew may result in loss of your registered address status.
• We reserve the right to terminate the address service if it is used for illegal, fraudulent, or abusive purposes.

7. Platform Use

Account responsibility

You are responsible for maintaining the security of your account credentials. You must notify us immediately if you suspect any unauthorised access to your account.

Acceptable use

You agree not to:

• Use the platform for any unlawful purpose
• Attempt to gain unauthorised access to any part of the platform
• Upload malicious code, viruses, or harmful content
• Scrape, copy, or reproduce platform content without permission
• Use the platform to harass, defame, or harm others
• Misrepresent your identity or affiliation

Service availability

We aim for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. We are not liable for losses resulting from service downtime.

8. Affiliate Programme

• The affiliate programme pays £20 per successful referral where a new customer registers their first business and completes their first payment.
• Earnings are credited to your affiliate balance within 7 days of the qualifying payment.
• Minimum withdrawal threshold is £100 (5 qualifying referrals).
• Withdrawals are processed within 5–10 business days to your bank account or PayPal.
• Self-referrals are not permitted. Referrals must be genuine new customers.
• We reserve the right to withhold payment where we suspect fraud or gaming of the system.
• We reserve the right to modify or terminate the affiliate programme at any time with 30 days notice.

9. Refunds & Cancellation

Formation fees

• A full refund is available if you cancel within 24 hours of purchase, provided your formation has not yet been submitted to the relevant authority.
• Once your formation has been submitted, no refund is available as government fees are non-refundable.
• If your formation is rejected by the authority, we will resubmit at no additional charge or offer a partial refund (excluding government fees).

Annual renewal

• Annual renewal fees (£99/yr) are non-refundable once processed.
• You may cancel your renewal at any time, but your service will continue until the end of the current paid period.

Marketplace services

• Refunds on marketplace services are assessed case by case. Contact us within 7 days of purchase if you are dissatisfied.
• Design services where work has commenced are non-refundable.

To request a refund, contact us at info@formationshq.com within the applicable window.

10. Limitation of Liability

To the maximum extent permitted by law:

• FormationsHQ is not liable for any indirect, incidental, consequential, or punitive damages arising from use of our services.
• Our total liability to you in respect of any claim shall not exceed the amount you paid for the specific service giving rise to the claim.
• We are not liable for delays or failures caused by government authorities, third-party service providers, or events outside our reasonable control (force majeure).
• We do not provide legal, tax, or financial advice. You should seek independent professional advice for matters specific to your situation.
• We are not responsible for the trading name or content of any company formed through our service once it has been registered.

11. Intellectual Property

All content on the FormationsHQ website and platform — including text, graphics, logos, icons, and software — is the property of FormationsHQ Limited and protected by UK copyright law.

You may not reproduce, distribute, or create derivative works from our content without written permission, except for personal, non-commercial use.

Any business documents, logos, or websites we create for you as part of our services are your property upon full payment.

12. Termination

We may terminate or suspend your account and access to our services immediately, without notice, if:

• You breach these Terms and Conditions
• We suspect fraudulent, illegal, or abusive activity
• You fail to pay any outstanding fees
• You use the registered address for illegal purposes

You may close your account at any time by contacting us. Closing your account does not entitle you to a refund of any pre-paid fees.

Upon termination, you must update your registered address with Companies House within 14 days.

13. Governing Law & Disputes

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating legal proceedings, we encourage you to contact us to resolve the matter informally. We aim to resolve all complaints within 14 business days.

If you are a consumer, you may also have rights under consumer protection legislation which these terms do not affect.
